DGKV advised on the Bulgarian law aspects of the sale by Taylor Corporation to the Finnish technology company TietoEVRY Oyj (HLSE: TIETO) of the software developer MentorMate, Inc. (a company established in Minnesota, the USA) and its fully owned Bulgarian subsidiary MentorMate Bulgaria EOOD. MentorMate Bulgaria EOOD with more than 700 employees is the largest employer of the target group. DGKV’s work included review of main transaction documents which were governed by a non-Bulgarian law and advice on warranties and completion related provisions therein from Bulgarian law perspective. Our team also assisted with completion of pre-closing actions and deliverables due by the Bulgarian target subsidiary.
