Ralitsa Gougleva

Ralitsa Gougleva is a Counsel at DGKV with extensive and diverse experience in the fields of M&A, joint ventures and private equity, corporate governance, project finance and commercial contracts. She has been a team leader, along with a partner in charge, and for the last year she has also been sole leader in charge, of DGKV teams that advised investors on some of the biggest and highest profile M&A deals on the Bulgarian market. Ralitsa has served many clients on the restructuring of their business operations or investments in Bulgarian companies, on corporate governance and liquidation matters, and on commercial contracts. She also has excellent expertise and more than 10 years of experience in data protection and privacy having counselled international companies on data protection issues and assisted Bulgarian and international clients in conducting their businesses in Bulgaria in compliance with GDPR and local data protection regulations.

Involvement in recent representative projects:

  • Advised Sanmina Corporation in relation to the acquisition of Osram EOOD, a Bulgarian lights and lighting devices manufacturer owned by the German lighting solutions company Osram.
  • Advised QuickBase, Inc., backed by Vista Equity Partners, with regard to the Bulgarian legal aspects of the acquisition of CloudPipes Group Ltd.
  • Advised a Bulgarian client that is part of a US corporate group on reporting an accidental data breach to the Bulgarian data protection authority and on responding to the follow-up audit by the Bulgarian data protection authority until the successful completion of the case without the client incurring any penalties or liability, advised the client on applicable safeguards for transfer of personal data to the USA after Schrem II case, and assisted the client in updating its policies and measures in compliance with GDPR.
  • Advised Kohler Co, USA, on Bulgarian legal aspects of the acquisition by merger of Curtis Instruments Inc. and its subsidiaries, including among others the Bulgarian subsidiary as the main producing entity of the target group.
