DGKV Advises on EUR 655.5 Million Cross-Border Financing for Orfefs Veinoglou Group

DGKV advised Piraeus Bank S.A., as Bondholder Agent and Administrative Agent, and Alpha Bank S.A., National Bank of Greece S.A. and Piraeus Bank S.A., as Original Bondholders and Subscribers, on the Bulgarian law aspects of two parallel private corporate common bond loan programmes for the Orfefs Veinoglou Group, a leading Greek logistics and supply chain group backed by H.I.G. Capital.

The transaction comprises financing of up to EUR 655.5 million through a EUR 473 million PropCo Facility for the group’s property-owning entities and a EUR 182.5 million OpCo Facility for its operating entities. The financing represents one of the largest private logistics financings in Bulgaria and the wider Central and South-Eastern European region.

DGKV advised on the Bulgarian guarantors involved in the transaction, structured and implemented the Bulgarian security package, including share pledges over the Bulgarian entities, reviewed the Bulgarian law aspects of the guarantee and security arrangements, and delivered Bulgarian law legal opinions to the finance parties.

The transaction involved multiple jurisdictions, including Greece, Bulgaria, Romania, Luxembourg and Serbia, and required close coordination across a sophisticated financing structure and complex intercreditor arrangements.
